A Section 8 Company is a registered non-profit organization (NGO) under the Companies Act, 2013, formed to promote commerce, art, science, sports, education, research, social welfare, religion, charity, or environmental protection. Any individual, group of individuals, or existing company can form a Section 8 entity, provided all profits or income are applied solely toward promoting its objectives – no dividends can be paid to members.

 

To incorporate a Section 8 Company, you need a minimum of 2 directors and 2 shareholders (for a private limited non-profit structure) or 3 directors and 7 shareholders (for a public limited structure). At least one director must be a resident of India. Unlike standard commercial companies, you must also obtain a specialized Section 8 License (Form INC-12) from the Central Government/MCA.
